The "My Power 30" contest ("Contest") which begins as of 12:01am (EST) on June 18, 2009 and ends on or around 12:01am (EST) on July 20, 2009 is sponsored by Source Enterprises, Inc., 11 Broadway, Third Floor, New York, New York 10004 ("THE SOURCE")

1 The Contest:. To enter the Contest, which will be posted on power30.thesource.com a website owned and controlled by THE SOURCE ("Contest Site"), entrants must register by completing the required fields on the entry form and uploading a video, which may be seen on power30.thesource.com, of up to one (1) minute stating who the entrant believes should have been in the top four of THE SOURCE's Power 30 for 2009. THE SOURCE is not required to post on either Website every video entry and in its sole discretion may refrain from posting any submitted video. Entrants are responsible for creating and producing their video. The video Entrants are limited to one entry per person and no group entries.

There will be thirty (30) prize winners (the "Prize Winner(s)") selected at the end of the Contest. Entrants must complete all required data requested on the entry form. Eligible entries for the Contest must be received by 12:01AM (EST) on July 20, 2009. If an entrant uses multiple e-mail addresses to submit more than one online video entry, only the first online video entry will count. By entering, entrants acknowledge compliance with these Official Rules including all eligibility requirements.

The Contest is a skill and creative based competition in which entrants will compete and the thirty (30) most innovative videos will be chosen as Prize Winners, from among all of the eligible entries received, by THE SOURCE's Mind Squad on THE SOURCE's behalf on or around July 21, 2009 thru July 25, 2009. THE SOURCE will be contacting each Prize Winner by email within 5 days after July 25, 2009. Upon notification, each potential Prize Winner must call the phone number provided to confirm identity and eligibility within two (2) working days (EST). If any potential Prize Winner(s) is unreachable, or if there is no response from any potential Prize Winner(s), an alternate Prize Winner(s) may be chosen, in THE SOURCE's sole discretion. If an alternate Prize Winner is chosen, they will be selected randomly from the remaining eligible entries and will be notified as provided above.

2. Video Content: Once the entrant has completed the online entry form, the entrant must follow the online instructions to complete encode and upload their video. The registration process and upload of the video must be completed no later than 12:01am (EST) on July 20, 2009 (the "Submission Deadline"). Contest video submissions: (a) cannot be longer than one (1) minute;  (b) must be formatted and encoded in either Mp4 format or MOV format and under a 100megs unless otherwise set forth at the Contest Site; (c) must be primarily in English; (d) must be intended for family audience viewing and contain only content that, in the sole and unfettered discretion of THE SOURCE, is suitable for all persons over the age of 13; (e) must not, in the sole and unfettered discretion of THE SOURCE, contain any sexually explicit, disparaging, libelous or other inappropriate content or any nudity; (f) must not, in the sole discretion of THE SOURCE, contain any commercial content that promotes any product or service other than THE SOURCE; (g) must not contain any copyrighted works or trademarks, including without limitation music, audio, speech/voiceovers, stills, video, supers, other audiovisual materials, or product logos (collectively, "Elements"); and (h) the content must be entirely original, created and performed solely by the entrant, or be in the public domain. The use of any Elements or other materials that are not original or in the public domain may result in disqualification of the entrant, in THE SOURCE's sole discretion. By entering the Contest, each Contest entrant acknowledges and agrees that: (i) THE SOURCE is granting entrants a limited, non-transferable, non-exclusive license to use THE SOURCE's intellectual property solely in connection with the Contest and only for the duration of the Contest, (ii) Contest Entrants shall have no right, title or interest in THE SOURCE's intellectual property interests, and (iii) any use of THE SOURCE's intellectual property other than as expressly permitted by these Official Rules will constitute a violation of these Official Rules and may constitute copyright and/or trademark infringement.

3. Prizing: Each Prize Winner shall receive a "Power 30 Bag" filled with music (CDs valued at $45 total), fashion (t-shirts valued at $60 total), gaming (valued at $60 total), stationary (notebook valued at $10), hair products (valued at $20) and the latest issue of The Source's Power 30 (valued at $4.99). The estimated retail value of each Power 30 Bag prize is two-hundred ($200) dollars. The tentative date for prize fulfillment is July 31, 2009 and is subject to change at THE SOURCE's sole discretion. Total approximate retail value of this Contest is one thousand five hundred ($1,500) dollars. The actual retail value of this Contest depends on current existing market conditions at time of prize fulfillment. The value of the prize(s) may be taxable as income. Upon receipt of any prize, each Prize Winner is required to comply with any and all applicable federal, state and local tax that becomes due with respect to the prize(s).

4. Prize Restrictions: The specifics of all elements of any prize in the Contest shall be solely determined by THE SOURCE. No substitution, transfer of any prize (or any part of a prize package) or cash alternative is permitted, except by THE SOURCE due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Unless specified otherwise by THE SOURCE, no cash will be awarded. Arrangements for the fulfillment of prizes will be made by THE SOURCE. Each Prize Winner must sign (a) an affidavit of eligibility and release of THE SOURCE, its affiliates, assigns, licensees and employees from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this promotion, Contest or the use or acceptance of the prize or any portion thereof to be eligible for the prizes; and (b) where permitted, a promotional release granting the right to use of the Prize Winner's name and likeness for advertising and publicity purposes without additional compensation; entry into this Contest constitutes each Prize Winner's agreement to sign such release. Each Prize Winner must also complete all legal documents and return them to THE SOURCE to claim a prize. Noncompliance will result in disqualification of such Prize Winner and an alternate Prize Winner may be selected from among all remaining eligible entries, in THE SOURCE's sole discretion. The receipt by any Prize Winner of any of the prize components of this Contest is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY PRIZE WINNER (AT THE SOURCE'S SOLE DISCRETION) WILL RESULT IN SUCH PRIZE WINNER'S DISQUALIFICATION AS A PRIZE WINNER OF "MY POWER 30" CONTEST AND ALL PRIVILEGES AS PRIZE WINNER WILL BE IMMEDIATELY TERMINATED. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

5. Odds: Odds of winning will be determined by the total number of eligible entries received.

6. Eligibility: By participating in this Contest, entrants agree to be bound by these Official Rules and by the decisions of THE SOURCE which are final in all matters relating to this Contest. Contest is open to TheSource.com users who are residing citizens of the U.S., except for residents of Rhode Island, Florida and Puerto Rico, at least 13 years of age or older who have an active online account as of June 15, 2009. If any Prize Winner is under the age of 18, the prize will be awarded to his/her parent or legal guardian. Prize Winners are subject to proving eligibility, including verification of social security number. If Prize Winners cannot furnish verifiable and valid proof of age within forty eight (48) hours after being notified of winning, an alternate Prize Winner may be chosen from among all remaining eligible entries received, in THE SOURCE's sole discretion. The Contest is not open to employees and their immediate families of Source Enterprises, Inc., and affiliated companies and subsidiaries as well as any person who has won a THE SOURCE national contest or sweepstakes in the 2009 calendar year.

7. Grant of Rights: By entering the Contest, each entrant agrees to THE SOURCE's use of their personal information collected if they are selected as a Prize Winner. All entries become the property of THE SOURCE. Upon submission, THE SOURCE may, and each entrant grants a gratis license to THE SOURCE to, post on any website, print, broadcast and/or use the submitted video and portions thereof in any medium now known or hereinafter devised in perpetuity. Contest entrants grant permission to THE SOURCE and its advertising and promotion representatives and agencies to use their name, likenesses, the submitted video and any other material submitted in connection with the Contest for purposes of advertising, publicity and promotion purposes, without further compensation to Contest entrant, unless prohibited by law.

8. Liability: TTHE SOURCE is not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to entrants or to any other person's computer related to or resulting from entering, participating, uploading or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of THE SOURCE which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason THE SOURCE deems it necessary, THE SOURCE reserves the right at their sole discretion to cancel, terminate, modify or suspend the Contest. Should the Contest be terminated prior to the stated expiration date, notice will be posted on thesource.com. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted the winning entry, the holder of the winning email account will be declared the winner. Winners agree that THE SOURCE, its subsidiaries, affiliates, related companies and employees shall have no liability in connection with acceptance or use of any of the prizes awarded herein.

By entering the Contest, you release THE SOURCE, participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the "Released Parties") from any liability whatsoever, and waive any and all causes of action, for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest or acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

9. Governing Law: THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY OF THE CONTROVERSY REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

All interpretations of the rules and decisions by THE SOURCE are final. THE SOURCE reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the game, its website or the Contest Site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

CAUTION: ANY ATTEMPT BY A ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SOURCE RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Prize Winners List/Copy of Rules: For a copy of the Official Rules or Prize Winners list, send a self addressed stamped envelope to: "My Power 30", The Source, 11 Broadway, Third Floor, New York, NY 10004. All requests must be received by August 30, 2010. Any requests received after August 30, 2010 will not be honored. Residents of WA and VT may omit return postage.

11. Miscellaneous: Contest entrants agree to be bound by the Official Rules and the decisions of THE SOURCE, which are final and binding on all matters relating to the Contest. THE SOURCE is not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal entries.
